The terms that govern your use of Stepup - service usage, SLA commitments and our acceptable use policy.

These Terms of Service ("Terms") govern your access to and use of Stepup, an AI-powered customer-conversation platform that unifies WhatsApp, Instagram, Messenger, Telegram, TikTok and Web Chat into a single AI inbox, with broadcasting, analytics and CRM tools, in Arabic and English. Stepup is operated from Dubai, United Arab Emirates, and hosted at stepuphub.cloud. By creating an account, subscribing to a plan, or otherwise using the platform, you ("you," "Customer," or "User") enter into a binding agreement with Stepup. Please read these Terms carefully; if you do not agree to them, you must not use the service.

1. Acceptance of Terms & Description of Service

By accessing or using Stepup, you confirm that you have read, understood and agreed to be bound by these Terms and by any policies referenced herein, including our Privacy Policy; if you use the service on behalf of an entity, you represent that you have authority to bind it. Stepup provides a cloud-based platform that consolidates customer conversations from WhatsApp, Instagram, Messenger, Telegram, TikTok and a Web Chat widget into one unified AI-assisted inbox, alongside broadcast campaigns, conversation analytics and CRM tools, in Arabic and English. The platform is designed for businesses operating across the GCC, including the United Arab Emirates, Saudi Arabia and Kuwait. Certain features depend on third-party messaging platforms and their APIs, and we may add, modify or discontinue features from time to time to improve the service or comply with platform and legal requirements.

2. Accounts & Eligibility

To use Stepup you must register for an account and provide accurate, current and complete information, and you are responsible for keeping that information up to date. You must be at least 18 years old and capable of entering into a binding contract, and you may only use the service for lawful business purposes. You are responsible for safeguarding your account credentials and for all activity that occurs under your account, including the actions of any team members or agents you authorize. You must notify us promptly at stepupagentcode@gmail.com of any unauthorized access or suspected security breach affecting your account.

3. Acceptable Use Policy

You agree to use Stepup only in compliance with these Terms and all applicable laws, and you must obtain valid consent from recipients before sending them messages or broadcasts. You may not use the service to send spam, unsolicited bulk messages, deceptive content, or material that is unlawful, defamatory, harassing, fraudulent or that infringes the rights of others. You may not attempt to reverse-engineer, disrupt, overload, gain unauthorized access to, or circumvent any security or rate limits of the platform or its integrated channels. We reserve the right to investigate suspected violations and to suspend or terminate access to protect the service, our other customers, and the messaging platforms we rely on.

4. WhatsApp & Meta Platform Compliance

Your use of WhatsApp, Instagram and Messenger features through Stepup is subject to the terms, policies and messaging rules of Meta Platforms, including the WhatsApp Business Messaging Policy, the WhatsApp Business Solution Terms, and the relevant template, opt-in and quality requirements. You are responsible for obtaining and maintaining proper user opt-in, for the accuracy and approval status of your message templates, and for honoring opt-out requests. Meta may impose messaging limits, quality ratings, template rejections, or account restrictions over which Stepup has no control, and we are not liable for any resulting limitation or suspension imposed by Meta. Repeated violations of Meta or other platform policies may lead to suspension or termination of your Stepup account.

5. Subscriptions, Billing & Refunds

Stepup is offered on a subscription basis, and the fees, billing cycle and included usage are set out in the plan you select at the time of purchase. Subscriptions renew automatically for successive periods unless cancelled before the end of the current billing cycle, and all fees are stated exclusive of any applicable taxes such as VAT, which are your responsibility. Fees are generally non-refundable except where required by applicable law, and cancellation stops future renewals but does not entitle you to a refund for the remaining portion of a paid term. We may change our pricing on prospective notice, and any usage in excess of your plan's limits may incur additional charges as published in the applicable plan.

6. Intellectual Property

Stepup, including its software, design, trademarks, logos and all related intellectual property, is and remains the exclusive property of Stepup and its licensors. Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable right to access and use the platform for your internal business purposes during your subscription. You retain ownership of the content, messages and customer data you submit to the service, and you grant us a limited license to process that content solely to provide and improve the service. You may not copy, modify, distribute, resell or create derivative works of the platform except as expressly permitted by these Terms.

7. Service Availability & SLA

We strive to keep Stepup available and reliable and target a high level of uptime for the core platform, excluding scheduled maintenance for which we will provide reasonable advance notice where practicable. Availability commitments do not cover downtime, delays or failures caused by factors beyond our reasonable control, including outages of third-party messaging platforms, internet or hosting providers, or force majeure events. Where an applicable service level agreement is specified in your plan, your remedy for any qualifying failure to meet committed availability is limited to the service credits described therein. The service is otherwise provided on an "as is" and "as available" basis without warranties of uninterrupted or error-free operation.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Stepup and its affiliates, officers and employees shall not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data, goodwill or business opportunities, arising out of or related to your use of the service. Our total aggregate liability for any claim arising out of or relating to these Terms or the service shall not exceed the total fees you paid to Stepup during the three (3) months immediately preceding the event giving rise to the claim. We are not responsible for the content of messages you send, for actions or decisions made by AI-generated responses, or for the conduct or outages of third-party platforms. Nothing in these Terms excludes liability that cannot be excluded under applicable UAE law.

9. Termination

You may terminate your subscription at any time by cancelling through your account or by contacting us, with effect at the end of the current billing cycle. We may suspend or terminate your access immediately if you materially breach these Terms, violate our Acceptable Use Policy or platform compliance obligations, fail to pay fees when due, or where required to protect the security or integrity of the service. Upon termination your right to use the platform ends, and we may delete your data after a reasonable retention period in accordance with our Privacy Policy and applicable law. Provisions that by their nature should survive termination, including intellectual property, limitation of liability and governing law, will continue to apply.

10. Governing Law, Changes to Terms & Contact

These Terms and any dispute or claim arising out of or in connection with them are governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai, and you and Stepup submit to the exclusive jurisdiction of the competent courts of Dubai, without prejudice to any mandatory consumer-protection rights you may have. If any provision is held invalid or unenforceable, the remaining provisions will remain in full force and effect. We may update these Terms from time to time to reflect changes in our service, technology, or legal requirements, and we will post the revised version on stepuphub.cloud with an updated effective date; where changes are material we will take reasonable steps to notify you, and your continued use after they take effect constitutes acceptance.
